During his second phase, Valefar will steal whatever gold your character has, and use that number as his health for the remainder of the fight. If you go into the fight with 0G, the boss will simply die after the stealing animation completes. However you always get back more gold than you started with.

Valefar Notes & Trivia

It is possible with a fully upgraded Reflector Ray to make it through his boss arena before the doors shut, however doing so will soft lock the game, as the loading zone to the next area will not be active and it is not possible to damage the boss or use a Waystone.

The amount of bonus money you get for the fight seems to be based on how much is stolen. When testing, entering the fight with 100G returned 101G, and 5000G returned 5016G.

I dropped a Valefor Coin on one kill, forgot to save, died and then I never dropped it again, how does that work

Really cheesy way to beat him is to use Aegis and invert gravity and just stand in the spikes. Then just mash your attack button into his head, which will be level with you. He will still use his attacks as if you were on the lower level, so the only thing you need to worry about are some stray coins.
